Acceptance of Terms

These Terms of Service ("Terms") are a binding legal agreement between you and Value8 LLC("Value8", "we", "us", or "our"), the company that operates the Value8 application and website. By signing up for our waitlist, downloading the Value8 app, or using any part of the service, you agree to these Terms. If you do not agree, please stop using the service.

Please read the "Dispute Resolution, Arbitration & Governing Law" section carefully — it requires most disputes to be resolved by binding individual arbitration and waives your right to participate in a class action.

You must be at least 13 years old to create a Value8 account. If you are between 13 and the age of majority in your jurisdiction, you must have your parent or legal guardian's permission to use the service.

Service Description

Value8 helps users track LEGO collections, view valuations, analyze price trends, scan items for identification, browse and be alerted to deals on third-party marketplaces, and (for Pro subscribers) connect an eBay seller account to manage listings and sales. The service is available in two tiers:

• Free: Core features with usage limits, including tracking up to 100 unique items, 6 months of price and transaction history, 1 collection, star ratings only, and basic lot calculations (calculate only, up to 25 items per lot). The VAL-U8 Scanner requires an active free trial or Pro subscription and is not available on the Free tier, along with import/export, additional collections, all-time lists and sorts, eBay account connection, and the public seller storefront.
• Pro: Expanded access including unlimited item tracking, full price and transaction history, 1,000 VAL-U8 scan tokens per month (additional tokens available to purchase), up to 10 collections, full text reviews, saved and exportable lot calculations of up to 100 items + invoices (CSV / HTML / PDF), full import and export capabilities, all-time lists and sorts, eBay account connection, and the public seller storefront. New subscribers start with a 3-day free trial that unlocks unlimited scanning.

Subscriptions, Trial & Billing

• Value8 Pro is offered as a recurring subscription at $7.99 per month or $49.99 per year ($4.17/month equivalent).
• New Pro subscribers are eligible for a 3-day free trial. If you do not cancel before the trial ends, your subscription begins automatically and your payment method is charged.
• Payment is processed through the platform where you downloaded the app (Apple App Store). Your purchase is subject to the payment terms of that platform.
• Subscriptions auto-renew at the end of each billing period unless cancelled at least 24 hours before the renewal date.
• You can cancel your subscription at any time through your device's subscription settings. Cancellation takes effect at the end of the current billing period — you retain Pro access until then.
• We do not offer refunds for partial billing periods. Refund requests should be directed to the app store through which you subscribed.
• We reserve the right to change subscription pricing. If pricing changes, we will notify you in advance and the new price will apply at your next renewal date.

Free & Pro Feature Limits

Free-tier users are subject to the usage limits described above. If you downgrade from Pro or your subscription expires, your data will be retained but access to Pro-only features will be restricted. Items exceeding the free-tier limit will remain in your account but will be read-only until you resubscribe or reduce your inventory to within free-tier limits.

Valuations, Pricing Data & Deal Scoring

All prices, medians, averages, deal-tier scores, P&L calculations, and other valuation outputs in Value8 are estimates computed from publicly available third-party data (eBay sold history, eBay active listings, BrickLink catalog data, and similar sources). They are provided for informational purposes only.

• Value8 makes no representation or warranty as to the accuracy, completeness, or timeliness of any price or valuation.
• Nothing in Value8 is financial, investment, tax, accounting, or legal advice.
• Deal-tier labels (Great, Good, Fair, Above, High) are signals based on the listing's deviation from the canonical median at the time of scoring; they are not guarantees that a listing is a good investment.
• You are responsible for verifying any price or valuation before making a purchase, sale, or other financial decision.

VAL-U8 Scanner

The VAL-U8 Scanner is an AI-powered image-recognition feature. By using it, you agree that:

• You will only scan items you own, are physically holding, or otherwise have a right to photograph.
• The scanner can misidentify items. You are responsible for confirming the result before adding the item to your inventory, listing it for sale, or making any financial decision based on it.
• Captured images may be processed on our servers and used to improve recognition accuracy, subject to our Privacy Policy.

eBay Account Connection & Marketplace Data

Value8 offers an optional integration with eBay for Pro subscribers. By connecting your eBay account, you authorize Value8 to act on your behalf with eBay through eBay's OAuth flow. Specifically:

• Listings you create through Value8 are still real eBay listings. Your use of those listings is governed by eBay's User Agreement and policies; eBay's terms apply to the listing itself, the underlying transaction, fees, and dispute resolution.
• Value8 is a discovery and management layer. We are not a party to any sale that occurs on eBay, and we do not collect or hold buyer funds.
• You are responsible for the accuracy of every listing you create — including item details, condition, photos, item specifics, pricing, shipping, taxes, and any regulatory disclosures.
• Marketplace deal data, seller profiles, and listings displayed inside Value8 are sourced from public eBay data and are provided as-is. Listings may sell, end, or change between when you see them and when you act on them.
• You may disconnect your eBay account at any time. We will revoke the OAuth tokens with eBay and stop syncing your account.

Lot Calculator & Exported Invoices

The Lot Value Calculator lets you build a bundle of items (up to 25 on the Free tier and up to 100 on Pro), generate per-line valuations, and—on Pro—save the lot and export the result as a CSV, HTML, or PDF document.

• Exported documents reflect the data and pricing in the lot at the moment of export. They are not contracts, official invoices, tax documents, or appraisals.
• You are responsible for the accuracy of any document you send to a third party, and for any tax, accounting, or legal consequences of how you use it.
• Sharing or transmitting an exported document is at your discretion. We do not control or have visibility into the destination.

Push Notifications

Push notifications are off by default. When you enable notifications (for deal alerts, seller-follow alerts, or service updates), you grant us permission to deliver notifications to your device. You can revoke this permission at any time through your device's system settings or through Value8's in-app notification preferences.

User-Generated Content

You retain ownership of the content you submit to Value8 — reviews, ratings, public storefront profile, listings created through the eBay integration, comments, and similar material (collectively, "User Content").

By submitting User Content, you grant Value8 a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and distribute that content as necessary to operate the service — for example, displaying your review on the corresponding item, or showing your public listings on your storefront. This license ends when you remove the content, subject to reasonable backup retention.

You represent that you have the rights to any content you submit, and that it does not infringe a third party's rights, violate the law, or contain misleading or harmful material.

User Responsibilities

• Maintain accurate account information and keep your credentials secure.
• Use the service only for lawful, personal, non-commercial purposes (or commercial purposes incidental to your own collecting and reselling — i.e., listing items you own).
• Comply with the terms of any third-party platform you connect through Value8 (notably eBay).
• Pay any applicable taxes, fees, or platform commissions associated with your sales.
• Promptly report account compromise or unauthorized activity.

Prohibited Activities

• Unauthorized access to accounts, systems, or other users' data
• Attempting to harm, disrupt, reverse-engineer, or interfere with the service or its infrastructure
• Automated scraping, crawling, or bulk-extracting data from Value8 without our prior written permission
• Posting fake reviews, manipulating deal-tier scores, or attempting to game the marketplace ranking
• Listing counterfeit, stolen, recalled, hazardous, or otherwise non-compliant items through the eBay integration
• Using the service for illegal, fraudulent, or harassing purposes
• Impersonating another person or misrepresenting your affiliation

Trademarks & Affiliation

LEGO® is a trademark of the LEGO Group of companies, which does not sponsor, authorize, or endorse Value8. Value8 is an independent application built by third-party collectors for collectors.

eBay®, BrickLink®, Apple®, and other names used in the service are trademarks of their respective owners. References to these names are nominative and do not imply any sponsorship, affiliation, or endorsement.

All other product names, logos, and brands are property of their respective owners.

Intellectual Property

Value8 retains all rights to the platform, content, branding, and software (other than third-party content and User Content). You may use Value8 for personal, non-commercial purposes and for commercial purposes incidental to your own collecting and reselling. You may not copy, redistribute, or build a competing service based on our content or software without our written permission.

Disclaimer of Warranties

The service is provided "as is" and "as available". To the maximum extent permitted by law, Value8 disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

Limitation of Liability

To the maximum extent allowed by law, Value8 and its officers, employees, and contractors are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including (without limitation) lost profits, lost data, business interruption, missed deals, mis-priced listings, or losses arising from your reliance on any valuation or deal score. Our total aggregate liability for any claim arising out of or relating to the service is limited to the greater of (i) the amount you paid us in the 12 months preceding the claim, and (ii) one hundred U.S. dollars ($100).

Indemnification

You agree to indemnify and hold Value8 harmless from any third-party claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the service; (b) content you submit or transmit through the service, including listings you create on connected third-party platforms; (c) your violation of these Terms or applicable law; or (d) your infringement of any third party's rights.

Dispute Resolution, Arbitration & Governing Law

Informal resolution first. We aim to resolve issues informally. Before starting an arbitration or lawsuit, please contact us at support@tryvalue8.app with a description of the dispute and give us 30 days to resolve it.

Binding arbitration. Except for the exceptions below, you and Value8 agree that any dispute, claim, or controversy arising out of or relating to these Terms or the service will be resolved by final and binding individual arbitration, administered by a recognized arbitration provider under its consumer rules, rather than in court. Arbitration uses limited discovery and limited appeal, and the arbitrator can award the same damages and relief as a court. Judgment on the award may be entered in any court with jurisdiction.

Class action waiver. You and Value8 agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of a representative or class proceeding.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in court for actual or threatened infringement, misappropriation, or violation of intellectual property or unauthorized access to the service.

30-day opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing support@tryvalue8.app with your name, account email, and a clear statement that you wish to opt out. Opting out does not affect any other part of these Terms.

Governing law & venue. These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws provisions. For any dispute not subject to arbitration, the exclusive venue is the state or federal courts located in California, and you and Value8 consent to personal jurisdiction and venue there. Any claim must be brought within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.

Termination

We may suspend or terminate your account, or remove you from the waitlist, for violations of these Terms or to protect the service. You may stop using Value8 at any time and can request account deletion via the contact methods below. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

Apple-Specific Terms

If you downloaded Value8 from the Apple App Store, you acknowledge that these Terms are between you and Value8, not Apple, and Apple is not responsible for Value8 or its content. Apple has no obligation to provide support, maintenance, or warranty service for Value8, and is not liable for any product claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Changes to Terms

We may update these Terms to reflect product changes or legal requirements. If updates are significant, we will notify users by email or through the app before they take effect. Your continued use of Value8 after changes are posted means you accept the updated Terms.

General Provisions

• Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and Value8 regarding the service and supersede any prior agreements.
• Severability. If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force. If the class action waiver above is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court.
• No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
• Force majeure. Value8 is not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages of third-party services (such as Apple, eBay, or our cloud providers), acts of God, or network failures.
• Electronic communications. You consent to receive communications from us electronically (email and in-app), and agree that electronic notices satisfy any legal requirement that such communications be in writing.
• Export & sanctions compliance. You represent that you are not located in, and will not use the service from, any country or region subject to comprehensive U.S. sanctions, and that you are not on any U.S. government restricted-party list.
